Summary


The Senior Corporate Governance Officer providescorporate governance support to the Associate Director of Corporate Governance and Head of Corporate Governance. Overseeing the administration of Trust Leadership Team (TLT) and providing support in the management of Board and Board committees, drafting agendas and taking minutes and ensuring that any actions resulting from the meetings are accurately recorded and followed up.

The Senior Corporate Governance Officer will also provide advice to staff and members of the Board on matters relating to Corporate Governance.

Hold primary responsibility for the effective oversight & administration of the Trust Leadership Team, ensuring each meeting is properly constituted, have clear terms of reference and that they are operated and supported effectively in accordance with its terms of reference.



To plan, arrange and produce high quality agendas for Board committees.



To prepare, collate and post papers for meetings onto the document management system, notifying Board committee members when papers are ready.



To support with the production of an annual and monthly programme of work for Board committees to ensure that they meet all regulatory reporting requirements and that any follow up action is recorded and monitored appropriately.



To take minutes at Board Committee meetings and other meetings as required, ensuring that actions are appropriately logged and followed up.



To produce agendas and take minutes at senior operational meetings, ensuring that actions are appropriately recorded and followed up.



In conjunction with the Head of Corporate Governance and Associate Director of Corporate Governance, review and update the Terms of Reference for the Board Committees on an annual basis, ensure that these comply with best practice and statutory/regulatory requirements.



Support the Associate Director of Corporate Governance and Head of Corporate Governance in managing the relationship between the Board and the Committees.
