Summary
Governance Officer who had a solid understanding of governance and compliance with experience working with boards and executives, including covering board and committee meetings is required to join a well-established company based in Ealing, West London.

LOCATION: Hybrid working partly from the office in Ealing, West London (W5) and the remaining time from home

JOB OVERVIEW
We have a fantastic new job opportunity for a Governance Officer who had a solid understanding of governance and compliance with experience working with boards and executives, including covering board and committee meetings.
Working as a Governance Officer you will join a dedicated Governance & Compliance department.
As the Governance Officer the key purpose of this role is to work with the Company Secretary and Head of Governance to manage and provide a company secretarial and governance service to boards, committees and partnerships operating in the governance structure.
DUTIES
Your duties as a Governance Officer will include:
Company Secretarial service
• Attend, co-ordinate and distribute agendas and papers for Committee and Partnership meetings
• Prepare accurate and concise minutes, matters arising and action logs for Committee and Partnership meetings
• Arrange away days and events for Board members
• Deliver the programme for approval and registration of accounts, and Annual General Meetings
• Undertake statutory filing with Companies House and other bodies, and maintenance of company registers (both electronic and paper files)
• Ensure document libraries are regularly updated with current board papers, articles, minutes, key business information. policies and procedures, publications and proactively identify relevant items for inclusion
• Oversee the maintenance of company, shareholder and member records, including formal and regulatory reporting
Governance
• Support the production, approval and delivery of the corporate calendar of board and committee meetings
• Support the Board & Committee member appraisal process to ensure it is conducted in accordance with policy
• Deliver projects on behalf of the Company Secretary and Head of Governance
Compliance
• Support the Compliance Solicitor on all matters of financial and legal compliance (including anti-money laundering, fraud, bribery) and probity issues (including declarations of interest, gifts and hospitality)
• Deliver training, briefings and e-communications on compliance matters to raise awareness and embed compliance understanding
• Support the maintenance and oversight of investigations, assessments, monitoring and prevention activities to assist in mitigation for non-compliance and risks
• Provide support for the monitoring and maintenance of compliance registers and records
• Support monitoring compliance with laws, regulations and internal policies
• Evaluate and improve effectiveness of compliance processes and procedures to enhance efficiency and output
CANDIDATE REQUIREMENTS
• Educated to GCSE level or equivalent in Maths and English (Grades A*- C)
• Gained or working towards a qualification in governance – for example ACGI
• Experience of working with boards and executives. This will include covering board and committee meetings
• Preparation of minutes, reports and agendas
• Understanding of governance and compliance processes
• Attention to detail in preparing corporate documents
