We are looking for a talented, proactive and ambitious person to join our Corporate Affairs team as a Corporate Governance Manager. This is a role that will help us ensure that our most senior decision-making bodies our Board, Board Committees, Executive Leadership Team and Council of Governors operate to a high-standard, fulfil their statutory and regulatory duties and deliver on the Boards ambitions for improved and streamlined processes. The role would suit an individual keen to build a career in corporate governance. The role offers flexibility and the current requirement is for attendance at the office for a minimum of two days a week. This is subject to the demands of the role and could mean attendance on more days if the business need requires it. There will be a limited number of evening events throughout the year (up to four) which the postholder would be expected to attend. At least six times a year, there will be a requirement to travel to services across our boroughs (Southwark, Lambeth, Lewisham and Croydon). Key Responsibilities: Supporting delivery of the Council of Governors, Boards and Board Committees statutory responsibilities and strategic ambitions through proactive and effective management of work programmes and compliance with set schedules. Effective working with the Director and Deputy Director of Corporate Affairs, plus Executive Leadership Team and Non-Executive Director colleagues, to deliver high-quality corporate governance and an effective support and trouble-shooting function. Developing and maintaining the directorates information systems, creating a repository of auditable information and data relating as it relates to the corporate governance function (including, but not limited to, the Trust Constitution, databases, legal advice, decision-making logs, meeting papers) Providing administrative and tactical proactive support to the Council of Governors, including preparation of forward work plans and reports, agenda setting, minute-taking and following up on actions for their c.20 meetings per year (4 x full Council meetings; 12 x Working Group meetings; 1 x Away Day; ad hoc briefings). This will involve a close working relationship with Governors, particularly the Lead Governor, Deputy Lead Governor and Working Group chairs. Supporting the Deputy Director of Corporate Affairs to implement best practice in good governance across Board Committees. Organising and attending service visits for NEDs and Governors on a rolling basis, ensuring even coverage across different directorates and types of service; preparing briefings and producing reports on the visits. Maintaining oversight of non-clinical policies, proactively managing reviews and updates. Assisting the development, and leading the implementation of, best practice in governance processes from floor-to-Board, improving and professionalising the management of information exchange through meetings and written reports. A role in developing, implementing and reviewing corporate governance policies and procedures, ensuring regulatory and statutory compliance across the Trust, and managing the day-to-day operation of those policies in practice. Management of the Trustwide declarations of interest procedures, reporting on compliance and ensuring transparency and appropriate reporting. Supporting the preparation of the Annual Report and Accounts. Secretariat support to the Governors Nominations Committee (responsible for the appointment of Non-Executive Directors) and providing support to NED onboarding. Responsibility to collate and act on Fit and Proper Persons checks for Non-Executive Directors (annually and on appointment). Preparing reports to the Board on Governor activities. Preparing communications to Governors on key strategic issues of importance to the Trust. Undertaking project work for the Deputy Director of Corporate Affairs. Contributing to and maintaining the Corporate Affairs business calendar and workplan. The Corporate Governance Manager reports directly to the Deputy Director of Corporate Affairs. The post holder will need to engage and interact with senior staff within and outside the Trust, including associated partners and agencies.
