Summary

Leadership & Governance Lead the IPC Board in setting strategic direction, culture, and values. Ensure effective Board composition, succession, and development. Uphold high standards of corporate governance, transparency, and accountability. Ensure compliance with statutory, regulatory, and fiduciary duties. Support and, where necessary, challenge the Chief Executive and Executive Team, ensuring accountability for performance and delivery. Strategy & Delivery Oversee development and implementation of IPCs strategic objectives and business plans. Ensure that IPCs work supports primary care sustainability, innovation, and equity. Foster a collaborative and high-performing culture across the Board and wider organisation. Ensure that decisions are informed by sound evidence, financial stewardship, and system awareness. Engagement & Representation Act as an ambassador for IPC, representing the organisation across local, regional, and national systems. Promote inclusion, equality, and diversity in all aspects of IPCs work. Build strong, trusted relationships with member practices, the ICB, local authority, Homerton Healthcare, and community partners. Ensure effective communication and engagement between IPC, its shareholders, and stakeholders. Board Management Chair bi-monthly IPC Board meetings, shareholder meetings, and the AGM. Set agendas that support effective decision-making and constructive debate. Ensure Directors receive accurate, timely, and comprehensive information. Facilitate fair discussion and collective responsibility for Board decisions. Performance & Accountability Ensure appropriate performance oversight of the Chief Executive Officer and Executive Team. Lead the CEOs annual appraisal process on behalf of the Board. Address issues of underperformance, conflict, or governance risk within the Board. Ensure continuous improvement in Board effectiveness and organisational governance. Election and Tenure The Chair is elected by IPC shareholders following a transparent selection and nomination process. The process includes a shortlisting stage led by a nominations panel comprising independent and stakeholder representatives, followed by presentations and election at a General Meeting. The Chair serves for an initial 3-year term, renewable as set out in the Articles. The Board may appoint an interim Chair in accordance with the Articles if the position becomes vacant between elections. Time Commitment Approximately one day per week, including Board and shareholder meetings, preparation, system engagement, and ad hoc representation. The Board is held on the 1st Friday of every other month.
