Role title: Senior Governance, Compliance and Risk Officer
Reports to: CEO
Job purpose:
To provide senior-level leadership, management and oversight of governance, assurance and risk across the organisation. The role
acts as a key steward of good governance, embedding a culture of compliance, accountability and transparency. The postholder
collaborates closely with the Senior Leadership Team (SLT), the Board of Trustees and other stakeholders, ensuring key issues,
risks and governance priorities are effectively communicated and addressed.
Staff: 1 – shared report
Accountabilities:
1. Governance Management & Compliance- Ensure that the governance of the Association is effectively managedin accordance withall
external regulatory requirements and internal constitutional, policy and administrative standards.
2. Trustee & Committee Appointment Processes- Lead and manage inclusive and transparent appointment processes for Trustees and
Committee Members, ensuring a diverse range of skills and perspectives. Coordinate induction and essential training for all
governance office holders.
3. Governance Appraisals & Development- Manage the annual appraisal process for governance office holders, using outcomes to
develop and deliveran appropriate trainingand development plan.
4. Board & Committee Support- Oversee the delivery of effective, high-quality Board and Committee meetings, including planning,
agenda development, paper collation and circulation, logistical arrangements, and the production of well-structured minutes,
action logs, and reports.
5. Forward Planning-Maintainand develop a forward-looking calendar of Board and Committee meetings, ensuring alignment with
organisational priorities. Work proactively with the Board and Committee Chairs, CEO, and SLT.
6. Governance Framework- In collaboration with the Governance Consultant, lead the development, implementation and embedding of
a robust Governance Framework aligned to the organisation’s strategicobjectivesand business plans.
7. Trustee Support & Best Practice- Promote and deliver best practice in supporting the Chair and Trustees, ensuring
understanding of legal and regulatoryresponsibilitiesand providing ongoing induction, training,adviceand guidance. Build
andmaintaina library of knowledge that can be referred to when needed.
8. Assurance & Internal Audit- Oversee delivery of the internal audit programme and related assurance activity. Report outcomes
to the Board and SLT, ensuring that recommendations are acted upon and that systems and processes are effective and fit for
purpose.
9. AGM & Member Governance Processes- Lead on the governance aspects of the Annual General Meeting (AGM), including trustee
elections and member submissions of resolutions and motions. Liaise with internal stakeholders and external legal advisors to
ensurea timely,compliantand well-run meeting.Respond to memberand stakeholderenquiries on governance related matters.
10. Risk Management- Take ownership of the organisational risk register, ensuring quarterly updates and continuous improvement of
the risk management function. Provide training and support to managers on risk identification,assessmentand recording.
11. Quality Assurance- Oversee quality assurance processes by reviewing policies,proceduresand service level
agreements,identifyingrisks, gaps or inefficiencies, and recommendingappropriate remedialactions.

Knowledge & Experience
* Graduate or equivalent professional experience (minimumthreeyears) in a senior governance role.
* Strong understanding of company and charity legislation,regulationand governance frameworks.
* Demonstrated ability to work autonomously, exercise sound judgement, and use initiative.
* Confident in leading meetings,facilitatingdiscussionsandprovidingauthoritative governance advice.
* Excellent interpersonal and communication skills, with the ability to build trusted relationships at all levels.
* Strong organisational skills, able to prioritise and manage multiple projects and deadlines.
* High standard of written communication, including report writing and presentation skills.
* Strongproblem solvingskills, with the ability to assess and solutionisebalancing technical information and the needs of
multiple stakeholders and their individual perspectives.
* ICSA (Chartered Governance Institute) membership witha track recordof annual CPD.
* Experience in a membership organisation or charity governance environment (desirable).
