Role Summary:

We are recruiting a qualified Solicitor with over 2 years PQE to join our Group Legal function as Legal Counsel. This is a brand-new role that has been created to play a key part in supporting and shaping how legal services are delivered across Optima Health PLC and its group entities. Working closely with the Head of Legal and the wider team, this role is ideal for someone who wants to make a meaningful impact, bringing fresh ideas to influence how a growing organisation manages legal risk.
You will collaborate with teams across the business to provide clear, pragmatic advice on commercial contracts and complex legal matters impacting an occupational health provider.

This role offers exceptional development opportunities and would suit someone who is looking to take the next step and develop their knowledge in different areas with a collaborative team and supportive Head of Legal. As this is a new position, the successful candidate will have the opportunity to utilise their experience gained to date to inform the overall direction of the legal function and to inform best practice in these areas.

Main Duties and Responsibilities

Draft, review, and negotiate a wide range of commercial contracts, including customer agreements, supplier terms, and service-level agreements.
Advise on contract interpretation, risk mitigation, and legal implications of business decisions.
Collaborate with internal teams including Business Development, Procurement, Contract Managers, Operations and Finance to provide pragmatic legal advice.
Contribute to the development of legal templates and internal training to improve legal awareness across the business.
Managing and maintaining the appropriate control and storage of the company's contractual agreements with customers; suppliers and other third parties.
Support the business on bids and tenders, ensuring legal compliance and advising on risks.
Assisting with legal aspects of corporate activities with external counsel including taking ownership of due diligence and documentation.
Supporting with legal disputes including breach of contract, intellectual property infringement and other commercial conflicts consulting with external counsel as and when required.
Assisting the team with logging and responding to Data Protection incidents in a timely manner.
Experience, Skills, and Knowledge Required for the Role:

Essential:

Qualified solicitor holding a practicing certificate with at least 2 years PQE as either an in-house or private practice solicitor. Other levels of PQE will be considered providing the candidate has the requisite desired experience.
Proven experience in reviewing, drafting, and negotiating commercial contracts.

Desired:

Experience of building and implementing technology-enabled processes to contribute to in-house ways-of-working.
A working knowledge of TUPE and how it interacts with outsourcing contracts.
An appreciation of the principles of Data Protection and IT security practices.
Experience with Company Law including company secretarial practices as required by an AIM quoted company and other private limited entities.
Knowledge of public procurement law both pre and post 2023 together with procurement processed used by the Government, the NHS, and commercial organisations.
Operational knowledge of the High Court Technology Court and inquests processes.
Experience gained in working within the Healthcare Sector including in occupational health, employee assistance programs talking therapies.
Experience of managing and liaising on commercial property transactions with external third parties.
