Location: London (Office-based, 3 days per week)

About the Role:

We are seeking an experienced Assistant Company Secretary to join one of our central government clients on a part-time basis. This role offers an exciting opportunity for a qualified individual (ACIS or ACG level) with at least five years of board-level experience. You will play a key role in supporting corporate governance practices across multiple entities within the organisation.

Key Responsibilities:

Corporate Governance Support: Ensure best practices in corporate governance across all entities within the organisation, providing comprehensive company secretarial support to boards and committees.
Board & Committee Administration: Prepare agendas, create and collate board packs, take minutes during meetings, and follow up on action points.
Governance Advice: Provide governance advice to board members, ensuring compliance with legal, regulatory, accounting, and tax requirements.
Document & Calendar Management: Maintain accurate documentation of governance activities and statutory books for subsidiary companies and manage board calendars and director availability.
Group Policy Management: Oversee the group policy framework, including maintaining policy templates, providing advice, and ensuring adherence to governance policies.
Executive Team Liaison: Manage the inbox, respond to queries, and coordinate with the executive leadership team.



Key Accountabilities:

Meeting Organisation: Organise and prepare agendas for meetings, including taking minutes and ensuring actions are followed up.
Regulatory and Legislative Monitoring: Keep the board informed of changes in legislation and policies, ensuring governance compliance.
External Relationships: Maintain communication with external regulators and advisors, representing the organisation professionally.
Legal, Health & Safety, and Insurance Management: Manage property, insurance, and statutory compliance for the group.
Stakeholder Communication: Ensure all decisions made by the board are effectively communicated to relevant stakeholders.

Key Requirements:

Qualifications: ACIS or ACG level qualification with at least five years of experience at board level.
Minute Taking: Proven track record in high-quality minute taking.
Governance Knowledge: Strong understanding of corporate governance and regulatory environments.
Communication Skills: Excellent written and verbal communication skills, with discretion and the ability to work under pressure.
Autonomy & Judgement: Ability to work autonomously, with good judgement in managing resources and working to tight deadlines.
Industry Contacts: Established contacts within the industry and experience liaising with external regulators and advisers.
