About the Job
As an Assistant Company Secretarial at Lampton you will report to the Company Secretary with your core role being to support the
Director of Governance & Compliance and the Company Secretary in overseeing the strategic governance and company secretarial
functions of the Group.
Key Responsibilities include:
* Manage and support the efficient and effective function of the boards & committees of the Group companies to include:
1. Set up and maintenance of meeting schedules and forward plans for agenda items.
2. Full board and committee meeting support - preparation of agendas, collation and circulation of board papers, active
attendance at, and minuting of, board and committee meetings, preparation of action lists and following up on actions
arising from meetings.
3. Set up and maintenance of a board decisions register.
4. Management of all Board and Committee requirements including the provision of advice regarding company law and governance
5. Drafting of written resolutions – board and shareholder
6. Drafting of pro forma minutes of meetings
7. Acting as a point of contact for Board members and other stakeholders
* Maintain the Group’s oversight and compliance with legislative, regulatory and contractual obligations by monitoring and
reporting on changes in relevant legislation and the regulatory environment and taking timely action where required
* Ensure that Group companies operate in accordance with their articles of association and with any shareholder agreements.
* Oversee the day-to-day administration of the Group companies e.g. Maintenance of statutory books, filings with Companies House
such as director appointments/resignations, confirmation statements, annual accounts, PSC updates
* Manage the Corporate Compliance Register
* Monitor the effectiveness of the department’s electronic filing and systems in retrieving and managing information efficiently.
* Drafting and maintenance of templates and procedure notes
* Maintenance of Gifts and Hospitality Register
About you
* ICSA/CGI qualified with experience of working as an Assistant Company Secretarial or Company Secretarial Assistant
* A comprehensive grasp of company law and corporate governance issues
* Previous experience of meeting management including organising, attending, and minuting meetings
* Strong administrative skills including familiarity with common IT software to include Microsoft Office, SharePoint and board
portals.
* An interest in developing knowledge of company law and corporate governance issues
* Excellent communication and interpersonal skills, with the ability to build effective relationships at all levels of the
organisation.
* Excellent time management and ability to prioritise
* Organised, efficient and accurate with an emphasis on execution
* A proactive approach to work
* Flexibility and willingness to adapt with the ability to provide creative solutions
