Summary


The Head of Corporate Governance role is based at the centre of the organisation. Working with our recently appointed Director of Corporate Affairs, you will help to drive our assurance systems and processes across the organisation.

You will manage our approach towards CQC well led, working with teams across the Trust to ensure we are striving for outstanding in this domain. You will also be responsible for our Board Assurance Framework and deputise at key meetings for the Associate Director of Corporate Affairs.

This role will sit under the Director of Corporate Affairs within the Chief Executive's office. This is a senior management post within a small and friendly team working alongside executive and non-executive colleagues, and supporting the entire corporate governance framework across the Trust.

The post holder will support the Director of Corporate Affairs, together with colleagues from across clinical and non-clinical services, to ensure the Trust has effective well-led frameworks in place, to provide and promote assurance of compliance with regulatory requirements set out by the Care Quality Commission (CQC).

The post-holder will also support the corporate assurance function of the Director of Corporate Affairs through management and maintenance of the Board Assurance Framework and ensuring its readiness for presentation to corporate meetings and in support of the Annual Governance Statement. They will play a central role in the development of the Annual Report and will be an active member of the North West London Acute Provider Collaborative Company Secretary meetings.

They will act as deputy for the Director of Corporate Affairs in the trust secretary role, and at other corporate meetings, supporting various governance processes and wider management of the team. Knowledge of collaborative governance arrangements, local governance arrangements, regulation and excellent skills in minute taking and report writing are essential.

· Provide effective governance and secretariat support to the Board and its Committees

Form an integral part of the NWL Acute Provider Collaborative Corporate Governance support team

· Assist DoCA in establishing and managing systems for the sound corporate governance of the Trust. Provide effective corporate governance advice across the Trust.

· Support the Director of Corporate Affairs in the co-ordination and reporting of the Board Assurance Framework.

· Cover for the Director of Corporate Affairs during periods of absence

§Ensure that the Trust’s approach to maintaining a robust declaration of interests and gifts, sponsorship and hospitality process, is effective and in line with national NHS requirements.

§Ensure that there is a central record of Trust policies; ensuring the Policy on Policies is followed for developing new policies and updating existing policies; that there is timely renewal of policies; periodically provide a summary status report to the DoCA.

· Contribute to the review of the Trust’s core governance documents; Standing Orders, Scheme of Reservation and Delegation and Standing Financial Instructions.

· Advise the Board on the relevant areas of the CQC well led domain in relation to corporate governance. To support and advise board members in managing CQC well led domain, using tact, discretion and persuasion where appropriate to ensure compliance.
