Term: Permanent
Salary: £40,706.31 - £42,849 per annum, basis experience
Location:   We have hybrid working in place, with 1-2 days per week, in our office in Canary Wharf.


What exactly will you be doing?

As a Corporate Governance Officer, you will play a key part in upholding strong corporate governance practices across the organisation. You will take ownership of managing council committees, ensuring adherence to governance protocols for executive, council, and board meetings. This includes preparing agendas, collating materials, coordinating meetings, and drafting minutes. Working jointly with the Company Secretary, you will provide vital assistance and support, deputising in their absence when needed. Moreover, you will aid in overseeing the organisation's compliance with obligations, duties, risk management, and mandatory reporting requirements in accordance with statutory and charitable regulations.

Major objectives 



The key objectives for the role are:



To manage and coordinate all aspects of committee meetings, including preparing agendas, collating materials, running meetings, and drafting minutes, while working closely with the Company Secretary.

To oversee the governance processes and procedures, such as policy management, annual governance reviews, recording declarations of interest, facilitating evaluations, and advising on governance developments.

To support the Company Secretary in duties related to trustee and committee member recruitment, induction, succession planning, and ensuring compliance with statutory and charitable frameworks.

To maintain and update governance documentation, calendars, communication channels, and online portals, acting as the point person for governance-related queries and requirements from stakeholders.



What are we looking for?



Strong understanding of corporate governance principles, change management, board portals, Charities Act, and Companies Act.

Proven ability to work autonomously, experience in project management, and expertise in minute writing.

Excellent written and verbal communication abilities to build credibility and communicate effectively.

Strong stakeholder management capabilities to influence and negotiate with diverse groups.

Extremely proficient in the Microsoft Office suite and highly organised.

Skills to juggle multiple priorities seamlessly.

ICSA qualification or equivalent experience is desirable.

Commitment to continuous professional development and a willingness to undertake training as required.
